These terms explain how we work with you, what's included in your plan, and what costs extra. By paying an invoice or signing an Acknowledgement of Terms, you agree to them.
Ascend Design Studio ("Ascend," "we," "us") designs, builds, hosts, and maintains websites for small businesses. "You" means the business or person named on the invoice.
Your package, one-time build fee, and monthly fee are listed on your invoice or estimate. If the invoice and these terms disagree, the invoice controls.
The build fee covers the design and build of your site as described in your package. The monthly fee covers hosting, maintenance, and support as described in Section 4.
Routine updates are included within reason, up to 2 hours of work per month. Unused time does not roll over.
A redesign is not part of the monthly plan and is billed at our standard rates. A request is a redesign if it involves any of the following:
New pages and new features (online ordering, booking, a store, forms that connect to other systems, and similar) are also outside the monthly plan and are quoted separately.
We decide in good faith whether a request is a routine update or a redesign.
If it's a redesign or a new feature, we will always send you a quote and wait for your approval before doing any billable work. You will never get a surprise charge.
Send change requests through the client portal on our website. We aim to complete routine updates within 3 business days. Larger work is scheduled when we quote it.
You're responsible for the text, photos, logos, and other material you give us, and for having the right to use them. You're also responsible for the accuracy of your business information, prices, and any claims made on your site. If you ask us to use material you don't have rights to, you are responsible for any resulting claims.
Once your build fee is paid in full, the design is yours. You can take your site files to another host at any time, and we'll provide them on request.
Stock photos, fonts, and third-party tools used on your site remain subject to their own licenses. We may show your site in our portfolio unless you ask us not to.
Your domain stays registered in your name. We manage its settings with your permission so the site works. If you leave, we'll point it wherever you ask.
You can cancel the monthly plan at any time with 30 days' notice through the portal or by email. There is no long-term commitment.
When a plan ends, hosting, maintenance, and the SEO report stop and the site comes offline from our hosting. We'll send you your site files on request within 30 days of cancellation.
We may end service with 30 days' notice, or immediately for non-payment or for content that is unlawful or infringes someone else's rights.
The build fee is non-refundable once design work has begun. Monthly fees are not refunded for partial months.
Your site relies on services we don't control, including the hosting provider, payment processors, domain registrars, email providers, and search engines. We are not responsible for outages, changes, or errors on their end, though we'll work to get things running again.
We build sites to perform well in search and convert visitors, but we can't promise specific rankings, traffic, leads, or sales.
Our services are provided as-is. To the extent the law allows, our total liability for any claim is limited to the fees you paid us in the 12 months before the claim, and we are not liable for lost profits or indirect damages.
We may update these terms. We'll post the new version here with a new date and notify active clients of material changes at least 30 days ahead. Continuing service after that date means you accept the update.
These terms are governed by the laws of the State of Idaho. Any dispute will be handled in the courts of Canyon County, Idaho.
